TERMS OF SERVICE
IMPORTANT: If you intend to submit songs for broadcast or promotion through The Country Songwriters Network, you must also complete and agree to the separate Song Submission, License and Promotional Agreement. That agreement governs all rights and obligations relating to submitted musical works.
- ACCEPTANCE OF TERMS
Welcome to The Country Songwriters Network ("Network"), a service of Main Street Digital Academy, LLC ("Publisher," "Company," "we," "our," or "us").
These Terms of Service ("Terms") govern your access to and use of our website, internet radio station, online services, artist resources, educational materials, merchandise, and related products and services (collectively, the "Services").
By accessing this website, creating an account, registering as a member, submitting information, uploading content, purchasing merchandise, or otherwise using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
If you do not agree with these Terms, you should not access or use the Services.
- ABOUT THE COUNTRY SONGWRITERS NETWORK
The Country Songwriters Network exists to promote and support independent country songwriters by providing opportunities for exposure through internet radio broadcasting, artist promotion, interviews, educational resources, merchandise, social media, websites, podcasts, streaming services, and other promotional activities.
Our mission is to help independent country songwriters gain exposure and connect their music with listeners around the world.
Nothing contained within these Terms shall be interpreted as guaranteeing radio airplay, interviews, promotional opportunities, awards, chart placement, commercial success, recording contracts, publishing agreements, or any particular level of audience growth.
Publisher retains sole editorial discretion regarding all content, programming, promotions, and services offered through the Network.
- ELIGIBILITY
To use the Services, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction.
Individuals under the age of eighteen (18) may use the Services only with the consent and supervision of a parent or legal guardian.
If you are registering or entering into any agreement on behalf of a corporation, limited liability company, partnership, band, publishing company, record label, or other business entity, you represent and warrant that you have the legal authority to bind that entity to these Terms.
Publisher reserves the right to refuse membership or terminate access to the Services at its sole discretion.
- MEMBERSHIP
Membership in The Country Songwriters Network is currently provided without charge unless otherwise stated.
Publisher reserves the right to introduce optional premium memberships, educational programs, promotional services, merchandise, artist marketing packages, sponsorship opportunities, or other paid services in the future.
Participation in the Network does not guarantee acceptance of any submitted song, artist profile, interview, promotional feature, or other content.
Publisher may suspend, revoke, or terminate membership for violations of these Terms or for conduct deemed harmful to the Network, its members, or its reputation.
- USER ACCOUNTS
Certain features of the Services may require users to register for an account.
You agree to provide accurate, current, and complete information during registration and to keep such information updated as necessary.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify Publisher immediately of any unauthorized use of your account or any other suspected security breach.
Publisher reserves the right to suspend or terminate accounts that contain false information, violate these Terms, or are used for unlawful, fraudulent, or abusive purposes.
- SONG SUBMISSIONS
The submission of songs, recordings, lyrics, videos, artwork, photographs, or other creative materials for broadcast, promotion, or publication by The Country Songwriters Network is governed exclusively by the separate Song Submission, License and Promotional Agreement.
No musical work will be accepted for broadcast, promotion, or publication until the Song Submission, License and Promotional Agreement has been properly completed and accepted by Publisher.
In the event of any conflict between these Terms of Service and the Song Submission, License and Promotional Agreement, the Song Submission, License and Promotional Agreement shall control with respect to all submitted musical works and related materials.
Publisher reserves the sole right to accept, reject, remove, suspend, or discontinue any submission at its discretion.
- USER CONDUCT
Members agree to use the Services in a lawful, respectful, and professional manner.
Users agree that they will not:
Submit false or misleading information.
Misrepresent ownership of any song, recording, artwork, or other content.
Upload content that infringes the copyright, trademark, privacy, publicity, or other legal rights of any person or entity.
Upload malicious software, viruses, or other harmful code.
Attempt to interfere with the operation or security of the Services.
Harass, threaten, defame, or abuse other members.
Post unlawful, obscene, defamatory, hateful, or otherwise objectionable material.
Submit AI-generated content in violation of the applicable terms of the AI platform used to create such content.
Use the Services for any unlawful purpose.
Publisher reserves the right to suspend or terminate any account that violates these Terms.
- INTELLECTUAL PROPERTY
Except for content submitted by members, all text, graphics, logos, trademarks, website design, artwork, software, databases, audio, video, and other content contained within the Services are the exclusive property of Publisher or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.
Nothing contained within the Services grants any member or visitor any ownership interest in Publisher's intellectual property.
No content owned by Publisher may be copied, reproduced, distributed, modified, or otherwise used without the prior written permission of Publisher.
Members retain ownership of their own submitted works subject to the rights granted under any applicable Song Submission, License and Promotional Agreement.
- ARTIST PROFILES
Publisher may create artist profile pages using information voluntarily provided by members.
Artist profiles may include, but are not limited to:
Artist name
Biography
Photographs
Website links
Social media links
Album artwork
Promotional materials
Interview information
Song listings
Merchandise links
Members are responsible for ensuring that all information submitted is accurate and that they possess the legal right to provide such materials.
Publisher reserves the right to edit profile information for formatting, consistency, spelling, grammar, or promotional purposes while preserving the overall accuracy of the submitted information.
- MERCHANDISE AND THIRD-PARTY SERVICES
Publisher may offer merchandise, artist promotional products, educational materials, or related services through Publisher or third-party providers.
Publisher may utilize third-party companies, including but not limited to website hosting providers, print-on-demand services, streaming providers, payment processors, shipping companies, and social media platforms.
Publisher is not responsible for delays, interruptions, manufacturing defects, shipping delays, pricing changes, service interruptions, or other matters arising from the services of third-party providers.
Purchases made through third-party providers may also be subject to the terms, conditions, and privacy policies of those providers.
- ELECTRONIC COMMUNICATIONS
By registering with The Country Songwriters Network, creating an account, submitting information, or using the Services, you consent to receive communications electronically.
Such communications may include:
Membership confirmations
Song submission updates
Programming announcements
Artist opportunities
Promotional information
Merchandise announcements
Educational content
Technical notifications
Administrative communications
Electronic communications satisfy any legal requirement that such communications be in writing.
Members may unsubscribe from promotional communications at any time; however, Publisher may continue to send administrative or account-related notices that are necessary for the operation of the Services.
- PRIVACY
Publisher respects the privacy of its members and visitors.
The collection, use, storage, and protection of personal information are governed by Publisher's separate Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you consent to the collection and use of information as described in the Privacy Policy.
Publisher will make reasonable efforts to protect personal information but cannot guarantee absolute security of information transmitted over the Internet.
- DISCLAIMER OF WARRANTIES
The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.
Publisher makes no warranty that:
The Services will operate without interruption.
The website will always be available.
Streaming services will be uninterrupted.
Errors will be corrected.
Content will remain permanently available.
Members will receive radio airplay.
Songs will be accepted for publication.
Artists will receive interviews, awards, chart placement, or promotional opportunities.
Participation in the Network will result in commercial success, increased sales, increased streaming, recording contracts, publishing agreements, or audience growth.
Publisher expressly disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by applicable law.
While Publisher is committed to providing opportunities for independent country songwriters, all editorial, programming, promotional, and business decisions remain within the sole discretion of Publisher.
- LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Publisher shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of the Services.
Publisher shall not be liable for, including but not limited to:
Lost profits
Loss of business opportunities
Loss of audience
Loss of reputation
Loss of data
Website outages
Streaming interruptions
Internet failures
Algorithm changes by third-party platforms
Suspension or termination of third-party services
Delays caused by third-party vendors or service providers
Publisher's maximum liability for any claim arising under these Terms shall not exceed the amount, if any, actually paid by the user to Publisher during the twelve (12) months immediately preceding the event giving rise to the claim.
- FORCE MAJEURE
Neither Publisher nor any user shall be liable for any delay, interruption, or failure to perform any obligation under these Terms if such delay or failure results from causes beyond the reasonable control of the affected party.
Such events may include, but are not limited to:
Acts of God
Fire
Flood
Hurricane, tornado, or other natural disasters
Earthquake
War or acts of terrorism
Civil unrest
Government action
Labor disputes or strikes
Internet or telecommunications failures
Electrical power outages
Computer system failures
Cyberattacks
Epidemics or pandemics
Failure of third-party hosting providers or service platforms
Any other event beyond the reasonable control of the affected party.
The affected party shall make reasonable efforts to resume performance as soon as reasonably practical.
Nothing contained in this section shall excuse obligations that accrued prior to the occurrence of the force majeure event.
- INDEMNIFICATION
Users agree to defend, indemnify, and hold harmless Publisher, Main Street Digital Academy, LLC, its officers, directors, members, employees, contractors, volunteers, successors, assigns, affiliates, and representatives from and against any claims, damages, liabilities, judgments, costs, expenses, or attorney's fees arising out of or related to:
Violation of these Terms.
Violation of any applicable law.
Infringement of any copyright, trademark, or other intellectual property right.
False or misleading information submitted by the user.
User-generated content.
Any negligent, unlawful, or intentional acts or omissions of the user.
- GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law principles.
Any legal action arising under or relating to these Terms shall be brought exclusively in a court of competent jurisdiction located within the State of South Carolina.
The parties consent to the jurisdiction of such courts.
- ASSIGNMENT
Publisher may assign, transfer, or delegate its rights and obligations under these Terms to a successor entity, affiliated company, purchaser, or other legal successor in connection with the sale, merger, reorganization, or transfer of all or substantially all of Publisher's business or assets.
Users may not assign or transfer any rights or obligations under these Terms without the prior written consent of Publisher.
Any permitted assignment shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
- ENTIRE AGREEMENT
These Terms of Service, together with the Privacy Policy and any other agreements specifically incorporated by reference, constitute the entire agreement between the parties regarding the use of the Services.
For users who submit musical works, the Song Submission, License and Promotional Agreement shall govern all matters relating to submitted musical works and shall control in the event of any conflict concerning such submissions.
These Terms supersede all prior oral or written discussions, representations, negotiations, or understandings relating to the Services.
No amendment to these Terms shall be effective unless published by Publisher or otherwise made in writing.
- SEVERABILITY
If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
The parties agree that any invalid or unenforceable provision shall be interpreted, modified, or limited only to the extent necessary to make it enforceable while preserving the original intent of the provision whenever possible.
- WAIVER
No failure or delay by Publisher in exercising any right under these Terms shall constitute a waiver of that right.
Any waiver of any provision of these Terms shall be effective only if made in writing and signed by an authorized representative of Publisher.
A waiver of any breach shall not constitute a waiver of any subsequent breach.
- CHANGES TO THESE TERMS
Publisher reserves the right to modify or update these Terms of Service at any time.
Updated Terms will become effective upon posting on the official website unless otherwise stated.
Continued use of the Services following the posting of revised Terms constitutes acceptance of the revised Terms.
Users are encouraged to review these Terms periodically for changes.
